1. Acceptance of Terms

By accessing or utilizing the VerbaEngine platform (the "Service"), provided by Sassi Tech di Davide Sassi, you and the legal entity you represent agree to be bound by these Terms of Service. If you do not hold the authority to accept these terms, or if you do not agree, you are prohibited from using the Service.

2. Description of Service

VerbaEngine is an industrial B2B SaaS application designed to automate request-for-quote (RFQ) processing, cross-reference data against complex machine tool catalogs, and generate automated Bill of Materials (BOM) alongside interactive technical sales proposals. The platform utilizes secure, enterprise-tier cloud infrastructure and artificial intelligence models to deliver automated calculations.

3. Professional Use & Corporate Responsibility

The Service is intended exclusively for business-to-business (B2B) use by manufacturers, engineering firms, and industrial sales teams. You agree to ensure that:

  • All technical specifications, catalogs, and mechanical constraints uploaded are accurate and proprietary or legitimately licensed to your organization.
  • The system is not utilized to reverse-engineer competitor configurations maliciously or upload classified national defense schematics violating trade ITAR/export laws.
  • No fraudulent or intentionally altered engineering dimensions are submitted to generate deceptive commercial quoting documents.

Sassi Tech reserves the right to immediately suspend instances or deny service to any user violating professional standards or safety guidelines.

4. Pilot Programs, Deployments, and Quoting Agreements

Commercial pricing, dedicated server deployments, custom catalog integration services, and Custom Pilot setups are tailored to organizational infrastructure requirements. All financial obligations, payment timelines, invoice processing, and specific performance benchmarks are governed exclusively by a separate, formal Master Service Agreement (MSA) signed between Sassi Tech and your corporate entity. No programmatic billing or ad-hoc self-service processing occurs through this landing interface.

5. Technical Disclaimers & Limitation of Liability

VerbaEngine leverages advanced multi-layered AI architectures to parse messy document structures. However, engineering configurations and cost calculations must always undergo final human review by your application engineers before being dispatched to end buyers. Sassi Tech provides the platform on an "as is" and "as available" basis, and shall not be held liable for commercial quoting errors, data inaccuracies within customer source files, or third-party cloud hosting provider connectivity anomalies.

6. Governing Law & Jurisdiction

These Terms of Service and any transactional disputes related to the use of the SaaS platform shall be governed by, interpreted, and construed in accordance with the laws of Italy. Any legal proceeding or contractual dispute arising under these terms shall be subject to the exclusive jurisdiction of the Courts of Forlì-Cesena, Italy.
